Eos has completed its rights offering, raising approximately $37.7 million in gross proceeds. Together with the previously announced investment from Hudson Bay Capital Management and the commitment from Cerberus Capital Management, approximately $263 million in gross proceeds has been raised in support of Frontier Power USA.

Along with a broad financing package expected to be available to Frontier Power USA, this equity base will support more than $1billion of deployable project capital.

Frontier Power USA is an independent development and investment company utilizing Eos’ vertically integrated, long-duration technology stack. Frontier Power USA is purpose-built to accelerate gigawatt-scale deployment of American-made energy storage for AI data centers, commercial and industrial, and utility-scale energy storage projects.

Frontier Power USA will unify three core capabilities that have historically sat across multiple stakeholders. Eos’ vertically integrated technology stack, Cerberus’ institutional capital and operating experience, and an Ariel Green technology performance insurance wrap. Cerberus anchored the platform with an equity contribution, providing immediate capital to begin project deployments.

Eos has secured the capital necessary to fund its expected investment in Frontier Power USA through its completed rights offering and previously announced equity offering. Together with the previously announced investment from Hudson Bay Capital Management and the commitment from Cerberus Capital Management, Frontier Power USA will have approximately $263 million of gross proceeds raised.

On May 13, Eos and Cerberus announced Frontier Power USA. It will be an industry-first application of a financing vehicle in the long-duration energy storage market. And it is a continuation of how Eos has always operated: breaking through the limits of conventional thinking.

As of July 23, 2026, Eos announced that the capital necessary to fund its investment in Frontier Power USA had been secured through its rights offering, an announced investment from Hudson Bay Capital Management, and the commitment from Cerberus Capital Management, resulting in expected gross proceeds raised above the ~$250 million aggregate equity target established with the joint venture, which was announced in May.

Rights offering results

What shareholders need to know

The rights offering has expired

The rights offering expired at 5:00 p.m. Eastern Time on July 21, 2026. Rights that were not exercised by the expiration deadline have expired and are no longer exercisable.

Offering results

Eos received subscriptions for 6,885,218 units at a subscription price of $5.481 per unit. Eos expects to receive approximately $37.7 million in aggregate gross proceeds from the rights offering.

Unit composition

Each unit consisted of:
• One share of Eos common stock
• 0.4388 of a warrant to purchase one share of Eos common stock
• An exercise price of $5.481 per whole warrant share
The common stock and warrants comprising the units will separate upon closing and will be issued individually.

Supporting Frontier Power USA

Including proceeds from the rights offering, the previously announced investment from Hudson Bay Capital Management, and the commitment from Cerberus Capital Management, approximately $263 million in gross proceeds has been raised in support of Frontier Power USA.

This exceeds the approximately $250 million equity target established when the planned formation of Frontier Power USA was announced and is expected to initially support more than $1 billion of deployable project capital.
