Song brings deep technology, cybersecurity, software, edge computing, and digital infrastructure expertise as Eos scales American-made energy storage for an increasingly complex grid

Pittsburgh-based Martin brings two decades of legal and governance leadership at global industrial companies to strengthen Eos’ foundation as it scales U.S. manufacturing and commercial deployment

PITTSBURGH, July 09, 2026 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), America’s leading innovator in designing, manufacturing, and providing zinc-based long-duration energy storage (LDES) systems sourced and manufactured in the United States, today announced the appointment of Haiyan Song to its Board of Directors and a planned leadership transition of the Company’s Chief Legal Officer.

The announcements come as Eos scales U.S. manufacturing and accelerates commercial deployments. The Company is building the technology, talent, and governance foundation to lead in an energy storage market being reshaped by surging electricity demand, tightening grid constraints, and the growing role of data, software, and cybersecurity in how storage systems are built, secured and operated.

Board Appointment
Song brings more than three decades leading software, cloud, cybersecurity, data, and enterprise technology businesses, most recently as Executive Vice President of NetApp’s CloudOps business, with prior senior leadership roles at F5, Splunk and Hewlett Packard Enterprise spanning product, engineering, cloud, cybersecurity and go-to-market functions at global scale. She also brings public and private board experience through her service on the boards of CSG and Kodiak Solutions.

Her appointment will strengthen Eos’ software, data, and cybersecurity strategy. Song’s software and edge computing expertise will support Eos as storage systems increasingly operate as intelligent assets at the grid edge, processing data and making operating decisions closer to where power is stored and delivered through platforms like the Company’s DawnOS™ operating system.

“Eos has built a differentiated energy storage platform backed by strong technology and manufacturing capabilities in a market that is becoming increasingly important to the future of American energy infrastructure,” said Song. “As energy storage systems continue to evolve, software, data and analytics will play a larger role in performance, operations and customer experience. I look forward to working with the Board and leadership team as Eos executes its strategy.”

“Haiyan brings proven cybersecurity, cloud and software expertise to our Board,” said Joe Nigro, Chairman of the Board. “Her perspective complements the manufacturing, industrial and energy expertise already on our Board, and will directly strengthen how we build, secure and operate our platform as Eos scales.”

As part of the Board transition, Greg Nixon has elected to step down from his role as a preferred stock director. Nate Fick, who joined the Board in March 2026, will transition from his independent director seat to the preferred stock director seat. Song will join the Board as an independent director, filling the seat vacated by Fick, effective July 9, 2026. Following these changes, the size of the Board, the number of independent directors, and the number of preferred stock directors remain unchanged.

“Greg has been a respected colleague and valued contributor to the Board, and we are grateful for his service,” added Nigro. “His insight and commitment helped guide Eos through a period of significant manufacturing expansion and governance advancement. He helped build a strong and enduring foundation for the Company’s partnership with Cerberus that carries forward as Nate assumes the preferred stock director seat.”

“I’ve watched Eos transform into a company built to lead in this industry, and it’s been rewarding to be part of that progress,” said Nixon. “Eos has gone from a company proving out its technology to one manufacturing at scale in the U.S. That’s a hard transition to make, and this team has made it.”

Chief Legal Officer Transition
Eos also announced the appointment of Marie Batz Martin as Chief Legal Officer effective July 13, 2026, bringing more than 20 years of legal, compliance and corporate governance leadership at global industrial and manufacturing companies to a business moving fast on multiple fronts. Michael Silberman, Eos’ current Chief Legal Officer, will remain with the Company as a non-executive employee through September 11, 2026, in support of the planned smooth transition.

Martin most recently served as Global Vice President and Chief Compliance Officer at Coherent Corp., where she led global compliance programs and business integration across a multi-billion-dollar enterprise. She previously served as Executive Vice President, General Counsel, Corporate Secretary and Chief Compliance Officer at FlightSafety International, and spent more than a decade at Alcoa and Arconic advising executive leadership on strategic transactions, regulatory matters, and large-scale manufacturing initiatives.

“Marie has built high-performing teams and advised complex global businesses through periods of growth and operational change,” said Joe Mastrangelo, Eos Chief Executive Officer. “She brings the legal expertise, judgment, and public-company experience Eos needs as we execute our strategy and scale the business.”

“What stands out about Eos is its pace of execution and the opportunity to help build a company at a defining stage of growth,” said Martin. “I’m looking forward to partnering across the business to keep that momentum building.”

Silberman leaves after steering Eos’ legal organization through a pivotal period, helping execute several of the Company’s most important strategic, financing, and operational initiatives, including procuring the U.S. Department of Energy loan, securing the Cerberus Capital Management LP strategic investment, and launching Frontier Power USA. His leadership and counsel helped strengthen the Company’s foundation and position Eos for its current phase of commercial and operational execution.

“It has been a privilege to be part of Eos’ journey through several pivotal years,” said Silberman. “I have tremendous confidence in the Company’s future and believe in the value of having legal leadership based in Pittsburgh to be closely connected to the business and its operations.”

“We thank Michael for his leadership, partnership, and significant contributions to Eos over the years,” added Mastrangelo. “His counsel and commitment were pivotal in guiding the Company through an important chapter in our evolution, and we are grateful for his dedicated service and lasting impact. We wish Michael and his family all the best in this next chapter.”

The closing of this Offering is subject to customary closing conditions.

Hudson Bay Capital Management has also committed to invest $50 million directly into FPUSA, subject to certain conditions. The commitment brings FPUSA’s expected equity investment up to approximately $375 million, assuming full subscription in the Company’s proposed rights offering. Under FPUSA’s planned financing model, that equity base is expected to support more than $1.5 billion of deployable project capital at approximately 75% loan-to-value (LTV).

The additional capital supports strong customer demand and the continued expansion of FPUSA’s project pipeline. FPUSA has a robust pipeline of approximately 16 GWh of long-duration energy storage projects across key U.S. markets. Of this current pipeline, approximately 2.7 GWh represents high-probability conversion opportunities, including approximately 1.2 GWh expected to be ready to sign, with a portion anticipated to reach notice to proceed in the near term, creating opportunities for capital deployment.

Eos and FPUSA hold a previously announced 2 GWh manufacturing capacity reservation agreement, of which approximately 25% is already allocated to projects advancing toward execution. By combining project development, dedicated manufacturing capacity, financing, and execution under one platform, FPUSA is designed to convert late-stage opportunities into operating assets. Structured on arm’s-length commercial terms, this model is expected to drive increased demand for Eos’ Z3™ technology and enhance the Company’s ability to participate in the long-term value generated by project deployments.

Additional institutional commitment brings Frontier Power USA’s targeted equity base up to approximately $375 million. Under the platform’s planned financing model, that equity is structured to support more than $1.5 billion of project deployment.

EDISON, N.J., June 30, 2026 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), a leading American innovator in zinc-based long-duration energy storage, today announced a $75 million equity investment from Hudson Bay Capital Management to support Eos’ investment in Frontier Power USA (“FPUSA”). Hudson Bay has also committed to invest $50 million directly into FPUSA, subject to certain conditions.

The Hudson Bay investment is additive to the previously announced $100 million commitment from Cerberus Capital Management and Eos’ own expected contribution of up to $150 million, which the Company intends to fund through the upcoming rights offering. Hudson Bay’s $75 million investment into Eos is being made on the same economic terms as the planned rights offering and is expected to allow its participation in the offering as a holder of record. By structuring the majority of Hudson Bay’s commitment on terms available to existing shareholders, the Company is aligning new institutional capital with its current investor base.

The Company is raising this capital to build FPUSA’s equity base, which, under its planned financing model, is expected to support project deployment at multiples of the invested capital. Eos is expected to retain an economic interest in FPUSA, with the size of that interest to be determined following completion of the rights offering and the level of shareholder participation.

The market for U.S.-manufactured long-duration energy storage continues to grow as customers seek solutions that improve grid reliability, support rising power demand, and enhance energy security. As projects move toward construction, developers increasingly need integrated solutions that combine development, manufacturing, financing, and execution. FPUSA was established to meet that need.

The additional capital supports strong customer demand and the continued expansion of FPUSA’s project pipeline. FPUSA has a robust pipeline of approximately 16 GWh of long-duration energy storage projects across key U.S. markets. Approximately 2.7 GWh of the pipeline represents high-probability conversion opportunities, including approximately 1.2 GWh expected to be ready to sign. A portion of those projects is anticipated to reach notice to proceed in the near term, creating opportunities for capital deployment.

By combining project development, dedicated manufacturing capacity, financing, and execution under one platform, FPUSA is designed to convert late-stage opportunities into operating assets. With arm’s length commercial terms, that model is expected to accelerate demand for Eos’ Z3™ technology and expands the Company’s participation in long-term project value.

FPUSA is moving quickly from platform formation into execution. Eos and FPUSA hold a previously announced 2 GWh manufacturing capacity reservation agreement, of which approximately 25% is already allocated to projects advancing toward execution. FPUSA has engaged KKR Capital Markets to build a scalable financing framework and has structured its portfolio to benefit from a $1.5 billion technology performance insurance policy from Ariel Green. Separately, FPUSA’s partnership with Stella Energy Solutions provides access to Stella’s 2 GWh utility-scale project pipeline and the execution capability to bring those projects into conversion.

“FPUSA was built to solve one problem: financing long-duration storage fast enough to match demand,” said Joe Mastrangelo, Eos Chief Executive Officer. “Most projects stall between contract and construction because financing can’t keep pace. Hudson Bay’s investment closes that gap, bringing FPUSA’s equity base to roughly $375 million and enabling the acceleration of project deployment. The FPUSA management team is well positioned to put this capital to work accelerating adoption of Eos’ zinc-based technology.”

“This investment reflects the confidence our partners have in both the market opportunity and FPUSA’s ability to execute, said Aaron Maczonis, Managing Director at Cerberus Capital Management. “FPUSA was designed to attract third-party capital into long-duration energy storage projects. The addition of Hudson Bay further validates the platform and expands our ability to finance and develop a growing portfolio of projects. As our pipeline continues to mature, bringing in institutional investors allows us to accelerate deployment while creating a scalable model for long-term growth.”

Shareholder Participation and Economic Alignment

Eos intends to fund its previously announced contribution of up to $150 million to FPUSA through the rights offering, giving eligible stockholders the opportunity to participate alongside institutional investors on substantially the same economic terms. The structure is intended to align shareholder participation with capital deployment into an execution-ready pipeline while preserving long-term upside through the combined value of a discounted investment in Eos common stock and additional warrant participation.

Energy Safety Response Group testing found no thermal runaway, no sustained fire, and no propagation under direct flame impingement and overcharge abuse, supporting safe siting of long-duration storage in dense urban environments

Third-party testing addresses evolving NFPA 855 fire-test expectations and reinforces Eos’ differentiated safety profile

PITTSBURGH, June 22, 2026 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), America’s leading innovator in designing, manufacturing and providing zinc-based long-duration energy storage systems sourced and manufactured in the United States, today announced the results of independent destructive testing of its Eos Z3™ battery modules. Energy Safety Response Group (ESRG), an independent energy storage safety and fire testing organization, conducted testing equivalent to large-scale fire testing (LSFT). Under the conditions tested, the modules exhibited no thermal runaway, no sustained fire, and no propagation to adjacent live modules.

The 2026 edition of NFPA 855, the standard governing the installation of stationary energy storage systems, now requires large-scale fire testing to confirm that a system failure does not spread between units at specified spacing. To address these evolving requirements, Eos subjected modules to two severe abuse scenarios: direct flame impingement and overcharge. Even with active flame applied, the modules did not enter thermal runaway, did not sustain fire, and did not propagate to adjacent modules. The tests also showed no ignition of off-gas.

“The inherent fire safety of our zinc aqueous chemistry has been foundational to Eos from the beginning,” said Francis Richey, Eos Chief Technology Officer. “Independent testing using LSFT-equivalent methods turns that design into validated performance. Under direct flame and overcharge, the Z3 modules did not experience thermal runaway, sustain fire, or propagate failure. These are the outcomes that matter most to customers, regulators, first responders, and the communities that host our systems.”

The results reflect the inherent safety advantages of Eos’ water-based electrolyte and flame-retardant polymer architecture, which give long-duration storage a fundamentally different fire and thermal runaway risk profile than conventional chemistries. ESRG evaluated the modules under conditions more severe than those typically expected in real-world applications.

High-voltage, large-scale energy storage systems carry inherent electrical risks similar to those found in any type of power plant. Testing equivalent to large-scale fire testing is essential to understanding how these systems behave under failure conditions. In such destructive testing, the Eos battery module demonstrated a distinct safety profile, with no evidence of thermal runaway or propagation, outcomes that are highly relevant for effective risk mitigation, informed project siting, and ensuring long-term asset reliability.

“As energy storage becomes a larger part of our nation’s energy infrastructure, communities need confidence that safety is being prioritized,” said Matthew Brown, Chief of the Allegheny County Department of Emergency Services. “In November 2025, my department, along with several municipal departments, responded to an incident involving overcharged battery modules at Eos’ Turtle Creek facility. Even under that real-world stress, the system did not enter thermal runaway or escalate into a fire event. Eos’ recent independent fire test further validates what we witnessed firsthand in the field.”

“Energy storage is now critical infrastructure, and critical infrastructure has to be safe enough to sit close to where people live and work,” said Joe Mastrangelo, Eos Chief Executive Officer. “As data centers, utilities, and industrial users add storage inside dense urban environments, the market needs systems that scale without adding fire risk. ESRG’s independent testing validates that Eos technology is built to do exactly that, and it speaks directly to the siting, permitting, and insurance questions that shape where storage can go.”

Separately, Eos announced it has achieved ISO 14001 certification, the globally recognized standard for environmental management systems (EMS), following a comprehensive third-party evaluation. This certification confirms that Eos maintains robust environmental management practices that strengthen operational performance, risk management, and cost efficiency. The achievement reflects the maturity of Eos’ environmental practices across its operations and manufacturing facilities.

ESRG’s independent test results and the ISO 14001 certification provide third-party validation of Eos’ core technology and manufacturing operations, reinforcing the differentiated safety profile of Eos’ zinc-based chemistry as Eos scales toward 4 GWh of annual production capacity across its Turtle Creek and recently commercialized Thorn Hill facilities.

PITTSBURGH, Pa., June 18, 2026 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), America’s leading innovator in designing, manufacturing, and providing zinc-based long-duration energy storage (LDES) systems sourced and manufactured in the United States, today announced the first purchase order under the 2 GWh capacity reservation agreement with Frontier Power USA Parent, LLC (FPUSA). The order supports FPUSA’s Redbird project, a 100 MW / 400 MWh battery energy storage system using Eos’ Z3™ technology.

Developed by Bimergen, and previously by Bridgelink, for the Electric Reliability Council of Texas (ERCOT) market, the Redbird project was previously approved under a Joint Development Agreement with Eos, with Eos’ Z3™ technology selected for deployment. As previously announced, FPUSA and its affiliates have acquired and will provide 100% of the equity for construction of the Redbird project. Bimergen retains a minority economic interest and will collaborate with FPUSA to bring the project into commercial operation.

“Redbird did not happen overnight. It came from years of working with Bimergen to move projects under active development toward execution,” said Nathan Kroeker, Chief Commercial Officer of Eos. “What FPUSA adds is the capital to turn opportunities into operating assets. That is what FPUSA was built to do, and the Redbird conversion is one of the first to prove it out.”

This order reinforces the strength and scalability of the FPUSA model: converting long-standing developer relationships into a high-quality, late-stage pipeline and deploying capital to bring projects that use Eos technology into operation.

“We developed Redbird to address growing demand for dispatchable storage in ERCOT and selected Eos because Z3™ is purpose-built for the multi-hour applications the market requires,” said Cole Johnson, Co-Chief Executive Officer of Bimergen Energy. “Combining proven technology with committed capital converts projects like Redbird into operating assets.”

Designed as a four-hour system, Redbird is expected to provide dispatchable storage capacity in ERCOT, supporting energy shifting, ancillary services, and overall grid reliability. The project meets rising demand for long-duration storage built for safety, reliability, and domestic supply chain strength, and is positioned to serve forecasted load growth and ERCOT market requirements.

“FPUSA was created to bridge the gap between project development and execution,” said Aaron Maczonis, Managing Director, Cerberus Capital Management. “FPUSA is building relationships with leading developers, assembling a portfolio of high-quality projects, and providing access to the capital needed to bring them online.”

As part of the acquisition and purchase order by FPUSA and its affiliates, the Redbird volume will be applied against the 2 GWh firm capacity reservation agreement between FPUSA and Eos. In addition, with this order, the Company has now fulfilled nearly 50% of the 1 GWh Bridgelink master supply agreement (MSA), while further advancing an additional development pipeline of 12 GWh across ERCOT, PJM, CAISO, and MISO.
