Eos’ technology combined with Cerberus Capital Management and DOE funding addresses critical needs essential to long-term United States energy security

TURTLE CREEK, Pa., Dec. 03, 2024 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), a leading provider of safe, scalable, efficient, and sustainable zinc-based long duration energy storage systems, today announced the successful closing of a $303.5 million loan guaranteed by the U.S. Department of Energy’s (“DOE”) Loan Programs Office (“LPO”) (“the DOE loan”), marking the first Title 17 battery loan closed under the current administration. The DOE loan is a key step in advancing Project American Made Zinc Energy (AMAZE) and is expected to fund the expansion of Eos’ manufacturing capacity to 8 GWh by 2027 to meet the growing demand for longer duration battery energy storage systems.

“Five years ago, we made the strategic decision to bring our manufacturing operations back to the U.S. from China – a move that has been transformative to our business and positioned Eos at the forefront of the American manufacturing renaissance,” said Eos Chief Executive Officer Joe Mastrangelo. “Since then, we’ve made significant advancements in our battery technology, retooled our manufacturing facilities for greater efficiency, and established a U.S.- based supply chain with over 90% domestic content, all of which has brought us to this milestone today with the DOE. The DOE loan provides capital to scale our operations to meet the surging demand for reliable, long-duration energy storage solutions, all while supporting American manufacturing.”

According to Fortune Business Insights, the battery energy storage system market in the U.S. is projected to grow significantly, reaching an estimated value of USD $31.4 billion by 2032, driven by the increasing adoption of renewable energy and the need for enhanced grid stability. To meet this demand, the Company, backed by its September 30, 2024, $589 million order backlog and $14.2 billion commercial pipeline, plans to use the funding to build four fully automated, state-of-the-art manufacturing lines. With one line already in commercial operation and having achieved 10-second battery manufacturing cycle times, these lines are expected to enable the production of Eos’ zinc-based batteries designed to offer a reliable, cost-effective, and safe alternative to incumbent technologies and support the transition to a more sustainable energy grid.

Project AMAZE is designed to position Eos at the forefront of the clean energy transition, with the Company’s goal of achieving 8 GWh of capacity by 2027, driven by increasing customer demand. The final loan guarantee amount of $303.5 million is lower than the amount in the Company’s August 2023 conditional commitment driven by Project AMAZE operational costs coming in lower than forecast and the addition of the strategic investment by Cerberus Capital Management announced in June 2024. With the DOE’s backing and the Delayed Draw Term Loan from Cerberus, Eos believes it has the foundational capital necessary to drive long-term, profitable growth. Together, these partnerships are driving forward the Company’s mission to accelerate the clean energy transition and address critical needs vital to the long-term energy security of the United States.

Eos Chief Financial Officer Nathan Kroeker added, “We are thrilled to reach this important milestone, which we view as a strong endorsement of Eos’ proprietary Z3™ technology and our ability to manufacture in the U.S. Closing on the loan marks a key achievement in executing our multi-phase capital strategy. The DOE loan guarantee, alongside our strategic investment from Cerberus, is expected to provide the capital required to build a profitable manufacturing business and supports our progress as we execute the Project AMAZE roadmap.”

Eos’ manufacturing expansion under Project AMAZE is poised to meet growing customer demand while generating significant economic benefits in the Mon Valley, supporting long-term sustainable growth in the energy storage sector. From just two employees in 2019, the Company has transformed an empty building in the region into a world-class clean energy manufacturing hub, with an over 250-person full time employee workforce in Turtle Creek. The project is expected to maintain and create up to 1,000 temporary and permanent jobs, including numerous apprenticeship opportunities through Eos’ Clean Energy Careers Program, in partnership with local high schools, trade schools, and workforce development programs.

Key Metrics

Backlog. Our backlog represents the amount of revenue that we expect to realize from existing agreements with our customers for the sale of our battery energy storage systems and performance of services. The backlog is calculated by adding new orders in the current fiscal period to the backlog as of the end of the prior fiscal period and then subtracting the shipments in the current fiscal period. If the amount of an order is modified or cancelled, we adjust orders in the current period and our backlog accordingly, but do not retroactively adjust previously published backlogs. There is no comparable US-GAAP financial measure for backlog. We believe that the backlog is a useful indicator regarding the future revenue of our Company.

Pipeline. Our pipeline represents projects for which we have submitted technical proposals or non-binding quotes plus letters of intent (“LOI”) or firm commitments from customers. Pipeline does not include lead generation projects.

Booked Orders. Booked orders are orders where we have legally binding agreements with a Purchase Order (“PO”), or Master Supply Agreement (“MSA”) executed by both parties.

Expands project size to bring safe, “made in America” clean energy storage solution for Viejas Enterprise Microgrid

TURTLE CREEK, Pa., July 02, 2024 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), a leading provider of safe, scalable, efficient, and sustainable zinc-based Long Duration Energy Storage (LDES) systems, today announced an expansion of its existing agreement with Indian Energy, adding 25 MWh of storage to the existing 35 MWh order for an overall project size of 60 MWh to enhance grid resiliency for the Viejas Band of Kumeyaay Indians. This expansion is Eos’ largest order funded by the California Energy Commission and represents a significant advancement in sustainable energy solutions within California.

“We are excited to continue our partnership with Indian Energy and the California Energy Commission to accelerate the adoption of safe, made in America clean energy technologies,” said Justin Vagnozzi, Vice President of Sales at Eos Energy. “This partnership affirms our shared vision for a more sustainable future and highlights the critical role of energy storage in achieving California’s ambitious climate goals, while providing reliable, flexible energy security to remote communities.”

The Viejas Enterprise Microgrid installation will include a hybrid of the Company’s Gen 2.3 systems, which have already been delivered, and the new Eos Z3TM Cubes. These systems are safe, non-flammable, and do not require cooling systems, reducing both ambient noise as well as operating costs. Eos continues to scale Z3 production on its newly commissioned state-of-the-art manufacturing line in Turtle Creek, Pennsylvania, supported by its predominantly U.S. supply chain.

Indian Energy, a Native American-owned microgrid developer, and Maada’oozh, a Native American-owned microgrid operations and maintenance provider, worked in partnership with the California Energy Commission to select the Eos Z3TM technology for the Viejas Enterprise Microgrid.

“Eos’ Battery Energy Storage System technology is a leading LDES solution that will ensure resiliency and reliability for the Viejas Tribe,” said Dr. Craig Reiter, Chief Sustainability Officer for Indian Energy and Maada’oozh. “Eos meets our domestic content requirements by being made in America and satisfies our sustainability goals as a non-lithium energy storage manufacturer.”

“Eos’ non-flammable proprietary technology represents a pivotal step forward in our commitment to deploying a diverse set of energy storage technologies,” said Allen J. Cadreau, Vice President of Engineering at Indian Energy. “The scalability, reliability and flexibility of their systems make them ideal for meeting our energy storage needs. We are confident that our partnership with Eos will not only enhance our operational efficiency, but also contribute to providing resiliency and energy stability in communities that face the greatest risk of being adversely affected by climate change.”

The expanded project provides dependable utility-scale renewable energy through the development of a solar-plus LDES microgrid on the Tribal lands of the Viejas Band of the Kumeyaay Indians in Alpine, California. This expansion signifies the strengthening partnership between the three entities and reaffirms their commitment to accelerate the shift to safe LDES solutions in the state of California.

This announcement follows the recent milestones of Eos successfully launching commercial production on its first state-of-the-art manufacturing line and receiving an up to $315.5 million strategic investment from Cerberus, a global leader in alternative investing, positioning the Company to scale and produce Z3 long duration storage systems for large-scale customer projects.

Company achieves critical Project AMAZE manufacturing milestone to meet future demand for long duration battery storage

TURTLE CREEK, Pa., July 01, 2024 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), a leading provider of safe, scalable, efficient, and sustainable zinc-based long duration energy storage systems, today announced it successfully launched commercial production on its first state-of-the-art (SotA) manufacturing line after being installed and commissioned in Turtle Creek, Pennsylvania, propelling the Company’s ability to produce Eos Z3TM batteries at scale.

Launching commercial production marks a significant milestone in the Company’s operational capabilities and ability to serve the growing long duration energy storage demand. The process of bringing the line into production involved thorough evaluation and validation of critical mechanical processes, software integration and overall line performance.

“The Eos team continues to show an ability to achieve operational milestones. Working with ACRO Automation, we installed and commissioned the line in just over five weeks from achieving Factory Acceptance Testing,” said Joe Mastrangelo, Eos Chief Executive Officer. “The first fully commissioned line along with the recent Cerberus investment are clear signals to the market that we have the resources and capabilities to produce Z3 storage systems in the United States for large scale customer projects.”

The Company continues to see future projects becoming larger in size and scale as energy demand increases. With the newly installed SotA manufacturing line, Eos will begin ramping manufacturing capacity over the next six months to 1.25 GWh of annualized manufacturing capacity, with expansion plans for 2 GWh on line 1 with further investment. Successful line 1 implementation is a critical cost-out component for the Company’s path to profitability. When producing at scale, Eos forecasts Z3 production costs to drop by nearly half with improved overhead costs and variable labor utilization.

“The process we followed from initial discrete manufacturing to semi-automation production provided a disciplined framework to quickly develop our first SotA line, while optimizing capital costs. Executing on this project required launching a new product design, automating it, and incorporating industry 4.0 integration to achieve the necessary performance and yield,” said Chris Dellinger, Eos Sr. Director of Advanced Manufacturing. “This milestone represents a major step forward in our manufacturing capabilities, allowing us to deliver heightened precision and efficiency in our production processes and we look forward to further optimize these capabilities and continue to execute Project AMAZE.”

The new line was designed and developed in partnership with ACRO Automation Systems. Over the last several months, Eos and ACRO teams worked in partnership to ensure successful FAT in Milwaukee and now bring the line into full commercial production at Eos’ facility in Turtle Creek. As the demand for safe, long duration energy storage continues to increase, the Company plans to build three additional lines to reach 8 GWh of annualized capacity.

“Continuing this collaborative journey symbolizes a significant milestone for both ACRO and Eos, uniting our strengths to enhance and expand our capabilities within the rapidly evolving energy storage industry,” said Michael Loomis, President and General Manager at ACRO Automation Systems. “ACRO, with its proven track record of delivering leading-edge automation solutions across various sectors, is poised to reach new heights through this exciting new alliance with Eos. Together, we are not just shaping the future of energy storage, we are defining it.”

This announcement follows the recent news of an up to $315.5 million strategic investment from Cerberus, a global leader in alternative investing with a dedicated platform focused on supply chain integrity and national security. This investment and manufacturing milestone position Eos to scale and become a leading provider of long duration energy storage while executing on its path to profitability.

Significant strategic investment supports Company’s growth plans in an accelerating long duration battery storage market and enables Eos to restructure existing debt

TURTLE CREEK, Pa. and NEW YORK, June 24, 2024 (GLOBE NEWSWIRE) — Eos Energy Enterprises, Inc. (NASDAQ: EOSE) (“Eos” or the “Company”), a leading provider of safe, scalable, efficient, and sustainable zinc-based long duration energy storage systems, today announced a strategic investment of up to $315.5 million from an affiliate of Cerberus Capital Management LP (“Cerberus”), to support its growth plans during a secular shift in global energy markets. The demand for safe alternatives to incumbent battery technologies is increasing and the world is facing significant energy growth along with an increased focus on higher energy independence and security. Cerberus is a global leader in alternative investing with a dedicated platform focused on supply chain integrity and national security. The companies believe that this investment should accelerate Eos’ operating capabilities and industry position.

The long-duration energy storage segment is forecasted to more than double by 2030, driven by increased energy demand from data centers and artificial intelligence growth combined with lower carbon energy mix targets and supportive government policies. This investment is structured to allow the Company to meet growing market demand effectively as evidenced by Eos’ $13.3 billion pipeline and $602.7 million orders backlog as of March 31, 2024. This funding supports Eos’ plan to scale operations and execute on its path to profitability.

“We are thrilled to partner with Cerberus at a pivotal moment in Eos’ history. This investment provides the critical funding needed to execute our profitability roadmap, while also providing our customers with the confidence that Eos can produce at scale,” said Eos Chief Executive Officer Joe Mastrangelo. “Cerberus’ investment, combined with their deep operational and technical knowledge, enables us to expand our manufacturing capacity, streamline our supply chain, and strengthen our market position.”

This partnership leverages both companies’ commitments to advancing domestic manufacturing and innovation and strengthens Eos’ position as a leading provider of American-made energy storage solutions. As the United States continues to transition towards a more sustainable and energy independent future, demand is growing for long duration battery storage that ensures grid stability, resilience, and efficiency.

“Cerberus is ecstatic to be investing in what we believe to be the United States’ first scalable non-lithium BESS platform. Eos has evolved dramatically in recent years in both cell technology and manufacturing efficiency, making the Company now ready to accelerate its first mover-advantage in long-duration energy storage,” said Nick Robinson, Managing Director of Cerberus’ Supply Chain and Strategic Opportunities platform. “With Joe’s leadership, plus Cerberus’ focus on U.S. innovation in critical technologies and next-generation manufacturing capabilities, we could not be more excited and prouder to help Eos build a big and incredibly important company for the U.S. and our allies for many years to come.”

The capital investment will be instrumental in enabling Eos to deliver a differentiated product, a simple and safe energy storage solution with proprietary software capabilities. The investment by Cerberus is structured as a $210.5 million delayed draw term loan that is partially based upon achieving operational milestones, and a $105 million revolver that the Company may draw upon, if required, at Cerberus’ discretion. In addition, Eos will utilize a portion of the proceeds to retire its existing $100 million senior secured term loan on favorable terms, strengthening the Company’s balance sheet. The Company reached an agreement to extinguish this debt for $27 million, of which $20 million has been paid and the remaining $7 million will be payable over the next twelve months.

Eos Chief Financial Officer Nathan Kroeker added, “The strategic investment announced today, combined with Eos’ highly efficient manufacturing capacity model, supports our capital needs as we execute on Project AMAZE. We look forward to working with Cerberus and their strong network to continue driving down product costs, improving performance of our storage systems, and developing financing alternatives for our customers. Our broader strategy remains unchanged, and we remain committed to the cost-out milestones and our path to profitability previously outlined at our December 2023 Strategy Call.”

Eos continues to work closely with the U.S. Department of Energy with respect to closing on the previously announced conditional commitment for a loan guarantee. With Cerberus’ backing, Eos is well-positioned to accelerate its growth to meet the increasing demand for sustainable energy solutions.

Mastrangelo concluded, “Today’s announcement is a clear testament to the strength of Eos’ vision and serves as an important validation for the need to scale an American-made battery storage solution. It also demonstrates the commitment of a recognized global strategic partner in Eos’ ability to provide sustainable value to each of our stakeholders well into the future.”

Strategic Investment Transaction Details
Pursuant to Cerberus’ strategic investment, Eos’ ability to draw on a portion of the $210.5 million delayed draw term loan is contingent upon achieving certain operational milestones through April 2025 agreed between the parties, with the remaining $105 million revolver to be drawn, if required, at Cerberus’ discretion. As part of the strategic investment, assuming the delayed draw term loan is fully funded and depending on the Company’s ability to achieve the operational milestones, Cerberus will receive penny warrants and non-voting convertible preferred stock equivalent to 33% with the potential to reach 49%, depending on the achievement of operational milestones, of the outstanding equity of the Company, on a fully diluted basis. Initial funding of $75 million in gross proceeds was received at closing on June 21, 2024, and Cerberus was issued 43.3 million penny warrants and shares of non-voting redeemable non-convertible preferred stock with a liquidation preference equivalent to 31.9 million shares of common stock in connection with this initial funding. Subject to receipt of stockholder approval under Nasdaq listing rules, the non-voting convertible preferred stock would ultimately become convertible into common stock.

Key Metrics

Booked orders are orders where we have legally binding agreements with a Purchase Order (“PO”) or Master Supply Agreement (“MSA”) executed by both parties.
